I'm not sure about NetCloak (haven't used it). It may or may not be compatible
with Apache. Actually I just checked their page and it says "NetCloak is a
plug-in or CGI that works with all Mac-based web servers", so it should be OK.

And according to their page, NetCloak is used to "easily add counters, tailor
your pages to different clients, automatically maintain page headers and
footers, and more" so even if you can't get NetCloak working, Apache's SSI
(Server Side Include) and PHP support should provide more than enough tools to
implement the same things (I know you mentioned that you prefer to stick with
NetCloak).

I'd go with Apache. Here are the reasons I can think of at the moment :)
1. Used on more web servers than all other webservers combined.
2. Free and included with Mac OS X -- patches and upgrades supplied by Apple.
3. Absolutely huge support and developer community.
4. Very flexible and extensible.

Of course, some of the above may also apply to WebStar. I haven't played with
WebStar in any recent incarnation (only old versions) so my experience with it
is a little out-dated.

I don't know about SiteEdit, but based upon your description you could consider
solutions such as FTP or WebDAV.
