Yes, it can replace a W2K AD server in this context. I won't say that Open Directory can do everything that Active Directory can (for example, good luck running Exchange off of it ;-) but it can do 99% of what an NT PDC can do -- moreso with Tiger Server (which includes a PDC migration assistant).

Passwords are centralized in Open Directory, so password changes would affect UNIX machines mounting NFS exports, or Windows clients mounting SMB shares.
