It seems like I had a similar problem. For me this solution worked fine. 

You could try to make a backup (sparseimage) of the OD-database using
serveradmin. Then set both server to standalone. 

After that you can build up the OD-Master and the OD-Replica. That should
work. 

The last thing to do is to restore the user database. Perhaps the status of
OD-Replica turn to failure, but after a few minutes the Replication should
work.

Running Mac OS X server 10.4.11 on an OD master and also on a 2nd
standalone server machine. Trying to promote the standalone to OD
replica, and keeps failing. I've verified forward and reverse DNS on
both sides, ability to ssh to master as root, and synced clocks.

I've tried manually running the following commands that I see in the
ODR's /Library/Logs/slapconfig.log file:

2007-12-28 16:24:44 -0800 - Removing replica due to an error copying
LDAP database. (error = 69)
2007-12-28 16:24:44 -0800 - command: ssh email@hidden
/usr/sbin/slapconfig -removereplica 10.0.0.20
2007-12-28 16:24:46 -0800 - command: ssh email@hidden
/usr/sbin/slapconfig -startldapserver


Based on the logs, and based on running the commands manually, the one
that fails is slapcat, creating the dump for the replica. When I run
it more verbosely on the OD master as follows:

/usr/sbin/slapcat -d 5 -v -l /Users/localadmin/Desktop/bkup.ldif

I get the following output:

entry_decode: "cn=raidgroup,cn=groups,dc=fileserver,dc=mydomain,dc=private"

Segmentation fault

Anyone know how I can track down what's causing this segmentation
fault? I posted to the OpenLDAP mailling list, and it was suggested to
upgrade to a newer version of OpenLDAP, which is a road I don't want
to go down just to create an OD replica.
