There a bunch of issues even for levels 1 and 2. Cipher modes, how
key material is handled, etc.
That said, there's nothing magic about it. FIPS 140-2 compliance does
serve as a federal procurement buzzword, which is why companies try to
invoke it whenever possible. But it's not *just* paperwork and fees.
