Raul,
Talking to a lawyer about this is a very good idea, but there is info
available. Ed Foster at infoWorld has been working on a "fair" EULA
for the last year or two. The text of the agreement is at

You can review the site for samples of what Ed terms "good" and "bad"
license agreements.
Also, check out NOLO's website (http://www.nolo.com). They have info
on licenses, copyrights, etc. and also sell a book on the topic that
discusses shrinkwrap and clickwrap agreements, with templates - "Web
& Software Development - A Legal Guide" by Stephen Fishman.
