What sort of problem causes TextEdit to error

TextEdit on Mountain Lion gives me an error "<filename> is damaged and can't be opened. You should move it to the trash."
The file is on a Fuse4X filtered Fat32 volume, the file was created with TextEdit on Lion, and saved twice (that seems to matter). The second save gave the warning about versions not being supported on this volume type.
The file shows up just fine in the Finder preview.
The file compares byte-for-byte with what it was when it was on Lion.
If I blow away the com.apple.quarantine xattr then the file loads just fine.
However, the quarantine xattr is identical to what it was on Lion.
The Finder Info xattr is also identical to what it was on Lion.
What causes TextEdit to give this error message?
