Based on precedent, and not NDA knowledge:

Major releases of Xcode have never been backward-compatible to previous major releases of the OS.

ADC members have always been able to download updates to Xcode, though I don't remember if initial releases were provided that way. If you're running Tiger, it wouldn't do you any good anyway.
