Thanks to all... it's resolved.

It was the "Cineform QuickTime Codec".

This probably effected me for writing/debugging any QuickTime based app.

This codec is "protected" by the Pace Anti-Piracy technology.
I contacted PaceAP support, and they have verified that
issuing a ptrace PT_DENY_ATTACH is one of the "protection"
options that they provide through their anti-piracy technology.

I uninstalled Cineform, and like magic, now I can launch FCP 7
from Xcode without problems. Now, I can go back to writing/debugging my FxPlug.
