My two cents worth...and I am not a lawyer
First, if you are incorporated and/or have an IRS tax exempt status, it might
be a good idea to have an attorney (like the one that assisted in your
incorporation/IRS application) look over the proposed changes. You wouldn't
want
those changes to void your past work and tax status.
Second, if you are NOT incorporated and/or have an IRS tax exempt status, the
club belongs to the members, doesn't it. Shouldn't they be allowed to
reconstitute themselves into anything they want their club to be? This
shouldn't
require a lawyer.
Anyway, that's my opinion.
