You can use any of the third party icon development tools to do this. I prefer the excellent Iconographer, myself.

Is it possible to have some transparency in a Mac OS X application icon? I would like to be able to make part of my icon for my Cocoa application partially transparent, which would be kind of interesting looking with the application in the Dock.
