I had this happen to me also, I watched the first download and install
just about complete, then it started all over again. I kept stopping
it and trying again (which was painful, because Apple's downloads were
horribly slow). I also just tried to download the dmg.. but when I
extracted it and tried to copy the Xcode.app into my /Applications
folder, it would stop with an error about some file being locked. I
didn't have anything running. I ended up just trying the update from
the Mac App Store again, left the house and left it to do its thing.
When I got back XCode was updated. No idea how many downloads it took.
I was in an email conversation with someone from Apple, trying to
diagnose the issue - I owe him some log files from
/var/log/install.log... Sounds like it wasn't an isolated incident.
So tl;dr just let it do its thing.
