Here's one way.

1. Open Disk Copy.
2. Choose Image -> New Blank Image...
3.Give the file any name you want (you'll change it later). Give the new volume a suitable name. Make sure it's "big enough" for your files.
4. Mount the new image (it should happen automatically).
5. Copy your background image file to the new volume.
6. Select your volume's window in the Finder. Choose View->Show View Options. Click to change "This window only", then set the icon size however you want it and choose Background: Picture -> Select... -> choose the copy of your background picture that you put in the new volume. (You can also change the icon for the volume using Get Info..., but that might confuse your users.)
7. Use a disk utility (e.g., File Buddy) to make the background image file invisible (so its icon won't show up in the Finder; the Finder will still know where to find it for the background.) Close the Finder window showing the volume contents, and reopen a window on the volume. The background image should be in place, and the icon file for it should not appear anywhere. (Maybe someone else knows a more "OS X" way than this to make files invisible?)
8. Copy your distribution files over to the volume and place them where you want in the window.
9. Eject the disk image volume (drag disk icon to the Trash).
10. Go back to Disk Copy. Choose Image->Convert Image... Choose your .dmg file. Give a good name for the final .dmg file. Choose the option for Image Format: Read/Only. Choose Convert, and Disk Copy will make a new, read-only .dmg file sized just to fit your files.
11. There's no step 11!
