Xcode 3 isn’t supported on 10.8. Your best strategy AFAIK is to install 10.5 on an external disk partition, then install either the most recent Leopard-compatible Xcode 3 (3.3.1 IIRC) or the most recent Leopard-compatible Xcode 4 (4.3.1 IIRC), and use one of those to convert the project. Make sure, if your project is so old as to have NIB files, that they get converted to XIB files.

Note that the most recent (Xcode 4/5) project format claims to be “Xcode 3.2 compatible”, but I wouldn’t bet on it in anything except a legalistic sense.
